Terms of Service

These Terms set out the conditions on which [NAZWA SPÓŁKI] ([FORMA PRAWNA]), with its registered office at [ADRES SIEDZIBY], NIP [NIP], REGON [REGON], registration: [KRS / CEIDG] (hereinafter “Sklepix” or the “Provider”), provides services to businesses selling on the Allegro marketplace.
§ 1. General provisions
These Terms set out the conditions under which Sklepix provides services related to running and optimising listings on the Allegro marketplace, including creating product cards, image work, handling buyer messages and analytics.
Services are provided exclusively to businesses (B2B). These Terms do not apply to consumers.
Placing an order or signing a separate cooperation agreement constitutes acceptance of these Terms in the version in force on the day the order is placed.
§ 2. Definitions
“Client” — a business using Sklepix services under a service agreement or order form.
“Product card” — the listing description published on Allegro: title, copy, parameters, photos and commercial data.
“Client’s store” — the Client’s seller account on Allegro for which the Client has granted access for the purpose of performing the services.
“Price list” — the current Sklepix price list available at https://sklepix.pl or shared with the Client individually before signing the agreement.
§ 3. Scope of services
Sklepix provides in particular: (a) creation and optimisation of product cards on Allegro, (b) product image generation and post-processing, (c) handling buyer messages on the Client’s behalf, (d) ongoing advisory on visibility and conversion.
The detailed scope of work for a given month, the number of product cards and the communication mode are agreed individually with the Client in the order form or framework agreement.
Services are provided either continuously or as one-off engagements, depending on the chosen cooperation model.
§ 4. Conditions of provision
Performance of the services requires that the Client grants Sklepix access to the Client’s store on Allegro within the scope needed to perform the order (listing management, messages, images).
The Client undertakes to provide source materials (EAN feed, supplier description, product photos, stock file) in a format suitable for automated processing. The list of accepted formats is annexed to the agreement.
Sklepix shall not be liable for delays arising from missing or incomplete materials provided by the Client, Allegro platform outages or force majeure.
§ 5. Remuneration and payments
Sklepix’s remuneration is set according to the current Price list or an individual offer. Prices are quoted in Polish złoty and are subject to VAT in accordance with applicable law.
Settlement is based on a VAT invoice issued in arrears on a monthly cycle, with a 14-day payment term, unless the agreement provides otherwise.
In case of payment delay Sklepix may suspend service provision until the outstanding amount is settled, after a prior reminder to the Client with a 7-day deadline.
§ 6. Liability
Sklepix shall be liable to the Client solely for actual damage, up to the amount of remuneration paid by the Client for services performed in the three months preceding the event that caused the damage.
Sklepix shall not be liable for lost profits, including drops in conversion caused by changes to Allegro algorithms, platform policy changes or third-party actions.
The Client bears full responsibility for compliance of the products it offers with applicable law, including holding required certificates, declarations of conformity and distribution rights.
§ 7. Personal data protection
To the extent the services involve processing personal data of the Client’s buyers (e.g. message handling), Sklepix acts as a processor within the meaning of Article 28 GDPR.
Detailed processing rules are set out in these Terms, the Privacy Policy and a separate data processing agreement signed with the Client before services commence.
§ 8. Intellectual property
Product cards, copy and images generated or modified by Sklepix in the course of providing services become the Client’s property upon full payment for the relevant work.
The Client grants Sklepix a non-paid licence for the term of the agreement to use the Client’s logo and trade name solely for the purpose of performing the services and documenting portfolio (subject to the Client’s prior consent).
The Client warrants that it holds the rights to source materials (photos, descriptions, trademarks) provided to Sklepix.
§ 9. Complaints
Complaints regarding the services shall be submitted by the Client electronically to contact@sklepix.pl within 14 days from becoming aware of the issue.
Sklepix shall consider a complaint within 14 business days of receipt and provide the Client with its position with reasoning.
§ 10. Duration and termination
The agreement is concluded for an indefinite period unless the parties agree otherwise. Either party may terminate the agreement with 30 days’ notice taking effect at the end of a calendar month.
Sklepix may terminate the agreement with immediate effect in case of a material breach of the Terms by the Client, in particular payment arrears exceeding 30 days despite a payment reminder.
§ 11. Changes to the Terms
Sklepix reserves the right to amend the Terms for important reasons, including changes to law or to the scope of services.
Sklepix shall inform the Client of any planned change at least 14 days in advance via the email address provided at the time of contract conclusion.
§ 12. Final provisions
Matters not regulated by these Terms shall be governed by Polish law, in particular the Civil Code and the Act on Provision of Services by Electronic Means.
Disputes shall be resolved by the court of common jurisdiction competent for the registered office of [NAZWA SPÓŁKI].
